Patrick R. Sughroue

Mr. Sughroue has served as legal counsel and business adviser since 1983 in connection with over $1 billion in public and private securities, capitalization, finance, merger, acquisition and consolidation transactions with primary emphasis in the energy and real estate industries as well as with emerging stage and technology-based companies.
Mr. Sughroue maintains an alternative dispute resolution practice (arbitration and mediation) for securities, financial and business disputes. Mr. Sughroue has published and lectured on a variety of topics including securities law, business organizations, energy investment, venture capital, and taxation.
Mr. Sughroue has served as outside general counsel managing capitalization, project finance and acquisitions for a several public and private firms. He has advised these businesses from start-up through private financed-growth, initial public offering, partnership rollup, secondary offerings and ultimate merger or disposition transactions. He was also a co-founder of Venture Capital Resources, Inc., a Michigan non-profit corporation, engaged in the computerized matching of entrepreneurs and emerging businesses with venture capital investors and was able to procure the necessary no-action letter from the Securities Exchange Commission which allowed formation and operation of the company.
Mr. Sughroue has served as general counsel to SEC-appointed conservator in SEC enforcement action (Securities Exchange Commission v. Basic Energy and Affiliated Resources, Inc., et al.) where he advised and implemented systems to identify, marshal and manage divergent oil and gas and financial assets; liquidated assets on a competitive bid basis in Federal Court (Eastern District of Michigan) and devised and implemented system to process and resolve investor claims for victims of a multi-million dollar Ponzi scheme.
Mr. Sughroue’s extensive work in the energy, oil and gas arenas includes representing an independent due diligence firm and conducting legal and technical due diligence on numerous oil and gas investment programs nationally marketed by securities broker-dealers; managing the formation, funding, asset acquisition and divestiture and investment management of private equity funds, each of which invested in direct ownership of producing and non-producing oil and gas royalties and minerals; and providing legal counsel to a private investment group in connection with the organization, capitalization, development and liquidation of a number of ethanol production facilities. Mr. Sughroue has also assisted in the development and commercialization of real estate title insurance for oil, gas and other mineral interests.
